available and DOT will proceed with plans toimprove the I-4042 intersection4 Department of Transportation - Addition to SystemThe Board reviewed petitions presented by the North Carolina Department ofTransportation requesting the following roads be added to the State Secondary System formaintenance Lisa Drive in J R Subdivision, Boon Hill Township; Fieldstone Drive,Pebble Drive and Rock Circle in Fieldstone Subdivision, Clayton TownshipFollowing review, Commissioner Eleanor N Creech moved the Board concur withthe NC Department of Transportations request to add the roads listed above to the resolution was discussed and its title was read162RESOLUTION AUTHORIZING THE ISSUANCE AND SALE OFGENERAL OBLIGATION WATER BOND ANTICIPATION NOTES OFTHE HOPEWELL PISGAH WATER DISTRICT IN THE AGGREGATEPRINCIPAL AMOUNT OF 1,799,000 FOR THE PURPOSE OFFINANCING A WATER SYSTEMWHEREAS, the Bond Order hereinafter described was authorized and adopted bythe Board of Commissioners of Johnston County the Board, acting as the governing bodyof the Hopewell Pisgah Water District of Johnston County the District on May 3, 1993,and approved by a majority of the qualified voters of the District voting thereon at areferendum held on July 13, 1993; andWHEREAS, the Board desires to provide for the issuance of 1,799,000 water bondanticipation notes the Notes pursuant to said Bond Order;NOW, THEREFORE, the Board of Commissioners of Johnston County, acting asthe governing body of the Hopewell Pisgah Water District of Johnston County, meetingin regular session in Smithfield, North Carolina, on October 2, 1995, do the followingBE IT RESOLVED BY THE BOARD OF COMMISSIONERS FOR JOHNSTONCOUNTY, ACTING AS THE GOVERNING BODY OF THE HOPEWELLPISGAHWATER DISTRICT OF JOHNSTON COUNTY1 The District shall issue its general obligation water bond anticipation notes in anaggregate principal amount of 1,799,000 pursuant to and in accordance with the BondOrder entitledBOND ORDER AUTHORIZING THE ISSUANCE OF GENERALOBLIGATION BONDS OF THE HOPEWELL PISGAH WATER DISTRICT OFJOHNSTON COUNTY FOR THE PURPOSE OF FINANCING, IN PART, THEACQUISITION, CONSTRUCTION AND EQUIPPING OF A WATER SYSTEMIN THE DISTRICT2 The Notes shall be dated October 17, 1995, shall be in denominations asspecified by the purchaser thereof, shall be numbered appropriately and shall besubstantially in the form of note attached hereto as Exhibit A The Notes shall matureand bear interest payable on March 27, 1996 The Notes shall bear interest at such rateas shall be determined by the Chairman and the LGC, as hereinafter defined, at the timeof sale, provided such interest rate does not exceed seven percent 70 Principal andinterest shall be payable to the holders upon surrender of notes as they become due at theprincipal corporate trust office of such institution as may be designated as paying agentfor the notes by the purchaser Principal and interest shall be payable in lawful moneyof the United States of America3 The Notes will not be subject to redemption prior to maturity4 The Notes shall be signed by the manual signature of the Chairman, shallbe countersigned by the manual signature of the Clerk and the District own seal shall beaffixed thereon The Notes shall not be valid until they have been endorsed by thesignature of the authorized representative of the North Carolina Local GovernmentCommission the LGC5 The full faith and credit and taxing power of the District are herebyirrevocably pledged for the payment of principal of and interest on the Notes Unless otherfunds are lawfully available and appropriated for timely payment of the Notes, the Boardshall levy and collect taxes and raise other revenues for payment of the principal of andinterest on the Notes, as the same become due and payable6 The LGC is hereby requested to sell said 1,799,000 Notes7 The Board covenants on behalf of the District that so long as any of theinstallments of principal and interest on the Notes are outstanding and unpaid, theDistrict shall not take or omit to take any action the taking or omission of which will causethe notes to be arbitrage bonds within the meaning of Section 148 of the InternalRevenue Code of 1986, as amended the Code, or otherwise cause interest on the Notesto be includable in the gross income of the holders thereof8 The Board hereby covenants that it will not permit the gross proceeds ofthe Notes to be used in any manner that would result in either a 5 or more of suchproceeds being considered as having been used directly or indirectly in any trade orbusiness carried on by any person other than a governmental unit as provided in Section141b of the Code, b 5 of such proceeds being used with respect to any outputfacility other than a facility for the furnishing of water, within the meaning of Section141b4 of the Code, or c 5 or more of such proceeds being considered as having beenused directly or indirectly to make or finance loans to any person other than a163governmental unit as provided in Section 141c of the Code; provided, however, that if theBoard receives an opinion of bond counsel acceptable to the registered owners of the notesand that any such restriction is not required to prevent the interest on the Notes frombeing includable in the gross income of the registered owners thereof under existingstatutes, the Board need not comply with such restriction9 The Notes are hereby designated as qualified tax-exempt obligations forpurposes of Section 265b3 of the Codea The Board will in no event designate more than 10,000,000 ofobligations as qualified tax-exempt obligations in 1995, including the Notes, for thepurpose of such Section 265b3;b The District and all its subordinate entities within the meaningof Section 265b3 of the Code have not issued more than 10,000,000 of tax-exemptobligations in 1995 not including pprivate activity bonds, as defined in Section 141 of theCode, other than qualified 501 W3 bonds, as defined in Section 145 of the Code,including the Notes;c Barring circumstances unforeseen as of the date of delivery of theNotes, the Board will not approve the issuance of tax-exempt obligations of the District orsuch subordinate entities if the issuance of such tax-exempt obligations would, whenaggregated with all other tax-exempt obligations theretofore issued in 1995 by the Districtand such subordinate entities, result in the District and such subordinate entities havingissued a combined total of more than 10,000,000 of tax-exempt obligations in 1995 notincluding private activity bonds other than qualified 501c3 bonds, including the Notes;andd The Board has no reason to believe that the District and suchsubordinate entities will issue tax-exempt obligations in 1995 in an aggregate amount thatwill exceed such 10,000,000 limit;provided, however, that if the Board receives an opinion of bond counsel acceptable to theregistered owners of the Notes that compliance with any restriction set forth in b or cabove is not required for the Notes to be qualified tax-exempt obligations, the Board neednot comply with such restriction10 The Board hereby represents and covenants as followsa The District and all its subordinate entities within the meaningof Section 148f4Dii of the Code have not issued more than 5,000,000 of tax-exemptobligations in 1995 not including private activity bonds, including the Notes;b Barring circumstances unforeseen as of the date of delivery of theNotes, the Board will not approve the issuance of tax-exempt obligations of the District Notes;c The Board has no reason to believe that the District and suchsubordinate entities will issue tax-exempt obligations in 1995 in an aggregate amount thatwill exceed such 5,000,000 limit;d At least 95 of the proceeds of the Notes shall be used for localgovernment activities of the District within the meaning of Section 148f4111 of theCode; provided, however, that if the Board receives an opinion of bond counsel acceptableto the registered owners of the Notes that compliance with any restriction set forth in bor d above will not prevent the District from having to rebate to the United States anypart of the earnings derived from the investment of the gross proceeds of the Notes, theBoard need not comply with such restriction11 The Chairman and the Clerk are hereby authorized and directed to takeall proper steps to have the Notes prepared and, when they shall have been duly sold bythe LGC, to execute the Notes and to deliver the Notes to the State Treasurer of NorthCarolina for delivery to the purchaser or purchasers to whom they may be sold by theLGC12 All other actions of officers of the District in conformity with the purposesand intent of this resolution and in furtherance of the issuance and sale of the Notes arehereby approved and confirmed13 Such officers of the District as maybe requested are hereby authorized anddirected to execute appropriate closing papers including a certificate setting forth theexpected use and investment of the proceeds of the Notes in order to show that such164expected use and investment will not violate the provisions of Section 148 of the Code andregulations issued pursuant thereto, applicable to arbitrage bonds Such papers andcertificates shall be in such form as may be requested by bond counsel for the District14 This resolution, in particular Section 2 hereof, constitutes a system ofregistration for the notes pursuant to NCGS § 159E-415 All resolutions or parts of resolutions in conflict herewith are of US 301 andSR 1345 from AR R-40 to Office Institutional9 Utilitv Extension Update - Water Sewer - Winn DixieMichael de Sherbinin, Economic Development Director, presented a letter to theBoard from Winn-Dixie Raleigh proposing anew retail support center in Johnston CountyThe project would be located on approximately 170 acres on SR 1553 west of Clayton andwould consist of a one million sq ft dry grocery and refrigerated warehouse facility witha Division Office Cost of the construction project would be approximately 30 to 35Million The companys trucking fleet would also be stationed at the site The letterformally requested that the County construct the necessary water and sewer lines to servethe proposed facilityIn a letter from McKim and Creed, Engineers, dated September 1, 1995, it wasestimated that the project cost to extend water and sewer to the proposed site would be605,000 Mr de Sherbinin explained the Town of Clayton already plans to construct a12 water main and an elevated storage tank in the area, and has agreed to considerproviding a water booster station at the elevated tank site The County would need toextend the 12 line along SR 1553 to US 70, then a 16 main westward along US 70 andloop back to connect to the Town of Claytons system at an estimated cost of 310,000Estimated cost of gravity sewer to the property would be 295,000Mr de Sherbinin introduced Mr John Critchlow, President of Winn-Dixie Raleigh,Mr J J Kaus, Real Estate Manager for Winn-Dixie, and Mr Ivan Hardesty, MarketingDirector Mr Critchlow offered to answer any questions the Commissioners might haveHe stated that Winn-Dixie is excited about the prospect of moving to Johnston County andlooks forward to working with the Board He noted the current operation in Raleigh wouldbe closed and approximately 500 employees would be moving to the Johnston Countyfacility The company hopes to expand the operation in the future to provide additionaljob opportunities They plan to begin construction in the spring anticipating a 14 monthconstruction spanFollowing further discussion, Commissioner James W Cash moved the Board agreeto extend water and sewer to the proposed site Counties;andWHEREAS, over the years since the counties were created, the exact locations ofsaid common boundary has been lost; andWHEREAS, the location of the common boundary is important for a number ofreasons including, but not limited to, a determination of which county has taxingauthority, b determination of where the residents vote, c determination of which schoolschildren attend, and d determination of which zoning, health and other ordinances areapplicable; andWHEREAS, the NC Geodetic Survey section, Land Resources Division and NCDepartment of Environmental Health and Natural
