10 491 July 6 , 1999 The Johnston County Board of Commissioners met in regular session Tuesday , July 6 , 1999 , at 10 00 am in the Commissioners Meeting Room , Johnston County Courthouse Annex , Smithfield , North Carolina , with the following members Present James H Langdon , Jr , Cookie Pope , Jerry F Wood , DDS , Eleanor N Creech , Thomas M Moore , Wade M Stewart , and Allen L Mims , Jr Absent None Also Present Rick J Hester , County Manager , Joyce H Ennis , Clerk to the Board , and Mark Payne , Attorney 1 Minutes - June 7 , 9 , 14 , 15 , 21 , 25 , 29 , 1999 Chairman James H Langdon , Jr asked if there were corrections to the minutes of the June 7 , 9 , 14 , 15 , 21 , 25 , 29 , 1999 board meetings Commissioner Cookie Pope asked that the minutes of June 15 , 1999 be amended in two places to insert the words “ the proposed ” into the language Page 481 - first paragraph under DISCUSSION - th should read as follows “ the proposed 4 to 3 ” ; and Page 487 - 6 paragraph - sentence beginning “ Registrar of Deeds , Phyllis Wall , noted reduction in the proposed salary increase ” There being no further changes , the Chairman declared the minutes approved as corrected Public Comments 2 Appreciation of Board’s Assistance in Obtaining Van for Transporting Veterans to Local VA Hospitals Ray Woodall , project chairman for the Disabled American Veterans , Johnston County Chapter 44 , presented certificates of appreciation to the Commissioners for their support in obtaining a van to transport veterans to area VA hospitals 3 Request for Exception to the Stormwater Management Ordinance Joe Dunehoo , with Dennis Blackmon , Surveyors , requested the Board consider an exception to the requirements of the Stormwater Management Ordinance in the case of Cleveland Commons II development in Cleveland Township , owned by Robert Hollister Mr Dunehoo maintained the approximate 35 acre site in question was part of Mr Hollister’s larger tract that was originally subdivided in 1988 , and therefore , in his opinion , should not be subject to the requirements of the Stormwater Ordinance adopted in 1998 The major concern would be the requirement of a retention pond if this property is found to be subject to the new ordinance Robert Hollister , owner of the property , stated the entire tract has been developed with the exception of this lot , and only approximately 25 acres will be built on at this time The remaining acreage is currently being leased for a car lot , and will remain as such He asserted it has always been understood that the entire tract would be developed In response to a question concerning drainage , he explained there is an existing drainage system at the back of the property The Board thanked Mr Dunehoo and Mr Hollister for their comments 4 Department of Transportation - Addition to System The Board reviewed petitions presented by the North Carolina Department of Transportation requesting the following road be added to the State Secondary System for maintenance Crosswinds Road in Crosswinds Subdivision , Selma Township Following review , Commissioner Cookie Pope moved the Board concur with the NC Department of Transportations request to add the road listed above to the State Maintained System Commissioner Allen L Mims , Jr seconded the motion , which carried by unanimous vote Page492 5 Approval of BB & T Capital Markets Group as Part of the Selling Group for the 17 Million Installment Payment Revenue Bonds Upon a motion by Commissioner Jerry F Wood , seconded by Commissioner Cookie Pope and carried by unanimous vote , the Board approved BB & T Capital Markets Group as a part of the Selling Group for the 17 million Installment Payment Revenue Bond Issue 6 Resolution - Final Approval of 17 Million Installment Financing The following resolution was introduced and its title was read RESOLUTION CONCERNING FINAL APPROVAL OF INSTALLMENT FINANCING AND AUTHORIZING THE EXECUTION AND DELIVERY OF DOCUMENTS IN CONNECTION THEREWITH WHEREAS , the Board of Commissioners the “ Board ” of Johnston County , North Carolina the “ County ” has previously resolved to undertake the financing of the construction and equipping of the new Riverwood Elementary School the “ Riverwood School ” , the financing of the renovation of the Heritage Center building for use as a museum and archival repository the “ Heritage Center ” , and the refinancing of the construction of the Clayton Elementary School the “ Clayton School ” and , together with the Riverwood School and the Heritage Center , the “ Projects ” ; and WHEREAS , the Projects are to be financed by the County through an installment financing agreement the “ Agreement ” with the Johnston County Finance Corporation , a North Carolina nonprofit corporation the “ Corporation ” , in an amount not to exceed 17,000,000 , pursuant to Section 160A - 20 of the North Carolina General Statutes ; and WHEREAS , the obligations of the County under the Agreement will be secured by a deed of trust on the Riverwood School and the Clayton School together , the “ Mortgaged Property ” ; and WHEREAS , financings pursuant to Section 160A - 20 must be approved by the North Carolina Local Government Commission the “ LGC ” ; and WHEREAS , the Board has previously held a public hearing with respect to the Projects and financing thereof under Section 160A - 20 ; and WHEREAS , the Board in a resolution adopted on March 1 , 1999 , authorized the filing of an application to the LGC for approval of the financing of the Projects ; and WHEREAS , the Corporation has proposed to execute and deliver its Installment Payment Revenue Bonds School and Museum Projects , Series 1999 , in an aggregate principal amount not to exceed 17,000,000 the “ Bonds ” pursuant to a Trust Agreement between the Corporation and First - Citizens Bank & Trust Company the “ Trustee ” , dated as of August 1 , 1999 the “ Trust Agreement ” ; and WHEREAS , the Bonds are expected to be sold to the public by Wachovia Securities , Inc the “ Underwriter ” pursuant to a Bond Purchase Agreement between the Underwriter and the Corporation and approved by the County the “ Bond Purchase Agreement ” ; and WHEREAS , there have been presented to the Board substantially final forms of the following documents which the Corporation , the Underwriter and the County propose to use in connection with the Agreement , the Bonds and the financing of the Projects 1 a draft dated June 24 , 1999 , of the form of Installment Financing Agreement between the Corporation and the County dated as of August 1 , 1999 the “ Agreement ” ; 2 a draft dated June 24 , 1999 , of the form of Deed of Trust dated as of August 1 , 1999 , to be executed by the County in favor of the Corporation as security for the obligations under the Agreement together with all other documents , if any , required by the Underwriter as security for the Agreement , the “ Security Documents ” ; 3 drafts dated June 24 , 1999 , of the form of Trust Agreement and of the First Supplemental Trust Agreement between the Corporation and the Trustee with respect to the Bonds the “ First Supplemental Trust Agreement ” ; 4 a draft dated June 16 , 1999 , of the Bond Purchase Agreement ; 5 a draft dated June 29 , 1999 , of the Preliminary Official Statement relating to the Bonds , which contains certain information about the County and the Projects the “ Preliminary Official Statement ” ; and 6 a draft dated June 24 , 1999 , of a Lease Agreement the “ Lease ” between the Johnston County Board of Education the “ Board of Education ” and the County , providing for the Board of Education to lease the Riverwood School and the Clayton School from the County ; and WHEREAS , the Board desires to approve the Agreement and the sale of the Bonds and toPage493 authorize other actions in connection therewith ; and WHEREAS , the LGC will consider the County’s application for approval of the Agreement on July 6 , 1999 ; NOW , THEREFORE , BE IT RESOLVED BY THE BOARD OF COMMISSIONERS OF JOHNSTON COUNTY , NORTH CAROLINA 1 The financing of the Projects pursuant to the Agreement and in accordance with the terms and conditions of the Trust Agreement and the Preliminary Official Statement is hereby approved 2 The Chairman or Vice Chairman of the Board or the County Manager are hereby authorized and directed to execute and deliver the Agreement , the Security Documents , the Bond Purchase Agreement , the Preliminary Official Statement and a form thereof updated with Bonds sales information the “ Final Official Statement ” and , together with the Preliminary Official Statement , the “ Official Statement ” and the Lease , which shall be in substantially the forms previously submitted , which are hereby approved , with such completions , omissions , insertions , and changes as may be approved by the Chairman , Vice Chairman or the County Manager , including such changes as may be required by the LGC , their execution to constitute conclusive evidence of their approval of any such completions , omissions , insertions and changes The Clerk of the Board shall attest and seal such documents as require the Clerk’s attestation and the County seal 3 The Board hereby approves the execution and delivery by the Corporation of the Trust Agreement , the First Supplemental Trust Agreement , the Bond Purchase Agreement and the Bonds and any other documents or certificates that may be required in connection with the execution and delivery of the Bonds 4 The Chairman , Vice Chairman , County Manager , County Finance Officer , County Attorney and Clerk of the Board are hereby authorized to take any and all such further action and to execute and deliver such other documents as may be necessary or advisable to carry out the intent of this resolution and to effect the installment financing pursuant to the Agreement , including , without limitation , procuring a municipal bond insurance policy and entering into rebate compliance agreements Without limiting the generality of the foregoing , the Chairman , Vice Chairman or County Manager are authorized to approve all details of the financing , including without limitation , the amount advanced under the Agreement which shall not exceed 17,000,000 , the annual payments under the Agreement , the interest rates with respect to such payments which shall not exceed an all - in interest cost of 7 per annum and the term of the Agreement which shall not extend past December 31 , 2022 Execution of the Agreement by the Chairman , Vice Chairman or County Manager , as the case may be , shall conclusively evidence approval of all such details of the financing 5 To the extent permitted by law , the County Manager , or such other officer or employee of the County as may be responsible from time to time for the preparation of the County’s annual budget , is hereby authorized and directed to carry out the obligations imposed by the Agreement on such officer or employee 6 The Board hereby approves and consents to the use of the Preliminary Official Statement and the Final Official Statement , in substantially the form of the Preliminary Official Statement , with such changes as are necessary to reflect the maturities and interest rates of the Bonds and other information required by Rule 15c2 - 12 of the Securities and Exchange Commission , and the Chairman , Vice Chairman or the County Manager is hereby authorized to execute the Official Statement in substantially such form , with such completions , omissions , insertions , and changes as may be approved by them , their execution to constitute conclusive evidence of approval of any such completions , omissions , insertions and changes 7 All other actions of the officers of the County which are in conformity with the purposes or intent of this resolution and in furtherance of the execution and delivery of the Agreement , including the execution of the Security Documents , the Bond Purchase Agreement , the Official Statement and the Lease , are hereby ratified , approved and confirmed The representations of the County made in the Agreement , the Security Documents and the Bond Purchase Agreement are hereby confirmed 8 All resolutions or parts thereof in conflict herewith are hereby repealed 9 This resolution shall take effect immediately Page494 Commissioner Wade M Stewart moved the passage of the foregoing resolution and Commissioner Allen L Mims , Jr , seconded the motion , and the resolution was passed by the following vote Ayes James H Langdon , Jr , Cookie Pope , Jerry F Wood , Eleanor N Creech , Thomas M Moore , Allen L Mims , and Wade M Stewart Nays None 7 Designation of Voting Delegate for the NACo Conference and the NCACC Conference Upon a motion by Commissioner Eleanor N Creech , seconded by Commissioner Allen L Mims , Jr and carried by unanimous vote , the Board designated Chairman James H Langdon , Jr , as the voting delegate for both the 1999 Annual NACo Conference to be held in St Louis , Missouri , July 16 - 21 , and the 1999 Annual NCACC Conference to be held in Asheville in August 8 HAPP - Request for Program Changes Anne Eason , HAPP Director , requested the Board approve administrative program changes for her agency Ms Eason noted that currently there are more than 500 families on the agency’s waiting list that cannot be served within a reasonable period of time Some families have been waiting since 1996 due to the current policy of serving the elderly and disabled displaced families first She asked the Board to approve the following proposed changes ` Close the Waiting List effective August 31 , 1999 if approved the closing would be duly advertised ` Change the policy from serving elderly and disabled persons first to allow all applicants to be served by date and time of application ` Approve the agency using 90 of the current Fair Market Rents as payment standards for the vouchers they issue Ms Eason explained that since the policy of serving elderly and disabled first went into effect a few years ago , her agency’s percentage of elderly and disabled clients has increased to 80 of total clients serve She stated , in her opinion , it is now time to close the list and allow some of the families that have been waiting the opportunity to receive housing This will give the agency a more balanced clientele , which is supported by HUD She also pointed out the elderly and disabled are being served by other agencies as well 9 Report Fireworks Display Approved by Chairman st The Chairman reported that on June 21 , as authorized by the Board , he approved a fireworks th display for the Town of Pine Level for July 4 at Sam Godwin Park , as part of the town’s Independence Day Celebration 10 Board of Education - Request for ADM Funds for Projects Upon a motion by Commissioner Thomas M Moore , seconded by Commissioner Cookie Pope and carried by unanimous vote , the Board approved use of State ADM Funds in the total amount of 512,250 for the following construction projects for the Board of Education South Johnston High - Renovation of media center - 85,000 State ADMFunds Smithfield - Selma High - Renovation of media center - 80,000 State ADM Funds Benson Middle - Roof replacement building # 5 - 225,000 State ADM Funds plus capital outlay funds Smithfield Middle - COG Upon a motion by Commissioner Jerry F Wood , seconded by Commissioner Eleanor N Creech and carried by unanimous vote , the Board appointed Jeremy Beal to the Emergency Medical Services - COG Board for a two year term to expire July , 2001 D Library Board Upon a motion by Commissioner Thomas M Moore , seconded by Commissioner Jerry F Wood and carried by unanimous vote , the Board appointed Patricia Godwin and Fred Bartholomew to the Library Board of Trustees for three year terms to expire July 2002 Included in the motion was the Board’s authorization for the County to work with the Town of Smithfield in an effort to make Mrs Ellen Taylor , who has served as a trustee since the library was formed , an honorary , lifetime , ex - officio member of the Library Board of Trustees 12 Recreation Grants The Board discussed the requests for recreation grants Commissioner Allen L Mims , Jr stated he would like for the Board to look closely at the recreation grant program to see if changes in the requirements need to be made He specifically questioned the use of this money for school recreation facilities , suggesting the Board of Education should include these needs in their annual budget Commissioner Cookie Pope noted the grants should be equally disbursed throughout the County Commissioner Thomas M Moore agreed and stated he would like to see the program re - evaluated for next year Following further discussion , Commissioner Allen L Mims , Jr moved the Board approve the following recreation grants in the total amount of 92,000 , with the understanding the Commissioners will re -
