10 290 September 5 , 2000 The Johnston County Board of Commissioners met in regular session Tuesday , September 5 , 2000 , at 10 00 am in the Commissioners Meeting Room , Johnston County Courthouse Annex , Smithfield , North Carolina , with the following members Present James H Langdon , Jr , Cookie Pope , Jerry F Wood , DDS , Eleanor N Creech , Thomas M Moore , Wade M Stewart , and Allen L Mims , Jr Absent None Also Present Rick J Hester , County Manager , Joyce H Ennis , Clerk to the Board , Mark Payne , County Attorney , and John R Massey , Finance Officer 1 Minutes - August 7 , 14 , 2000 Chairman James H Langdon , Jr asked if there were corrections to the minutes of the August 7 , 14 , 2000 board meetings Upon a motion by Commissioner Allen L Mims , Jr , seconded by Commissioner Cookie Pope and carried by unanimous vote , the Board approved the minutes as presented Public Comments 2 Amortization of Billboards Carl Edwards with Eastern Outdoor Corp addressed the Board concerning the regulations for th billboards in the new development ordinance adopted July 10 Representing a group of people from the outdoor advertising industry , Mr Edwards stated the new regulations will make it virtually impossible to build new billboards , and in the group’s opinion , the amortization schedule for non - conforming signs in Article 12 , if not changed , will put them out of business He asked the Board to remove Article 1253 from the ordinance Ricky Brady , who also is in the billboard business , stated he was trying to sell his business , and this ordinance has reduced the value in half He , too , asked the Board to remove the amortization section from the ordinance Kirk Edgerton with Fairway Outdoor Advertising , pointed out billboards on certain major highways are regulated by the state and federal governments as well as local ordinance The State law requires monetary compensation when billboards , under state protection , are required to be taken down due to a local law He noted the previous ordinance called for a 10 year amortization , however this was never carried out The existing billboards were built under the old ordinance and , in his opinion , should be grandfathered Commissioner Allen L Mims , Jr noted he and staff met recently with Mr Edgerton and several other representatives of the outdoor advertising industry , and he encouraged them to come to this meeting and voice their feelings to the entire Board He stated , in his opinion , these are legitimate concerns Chairman Langdon agreed and stated the Board would look into this matter Mr Edwards noted the law states that a challenge to the ordinance must be filed within 60 days from when it is enacted , which means , in this case , this would have to be done no later than September th 10 He pointed out that since the Board is not prepared to make a decision on amending the ordinance at this time , the group will have no choice but to file the complaint He stressed , however , this will not preclude the industry working with the Board to find an amiable solution 3 Executive Director of Triangle J Council of Governments COG Dee Freeman , new executive director of Triangle J COG , introduced himself to the Board He spoke briefly about his background in local government and his desire to work closely with the counties and municipalities in the COG , especially in the areas of growth management , land use planning , transportation and infrastructure needs He noted he is working with both the NC Association of County Commissioners and the League of Municipalities concerning revenues needed at the local level to provide services for the growing populations Page291 Board members thanked Mr Freeman for coming Commissioner Thomas M Moore , who represents Johnston County on the Triangle J Board , stated he is looking forward to working with Mr Freeman 4 Public Hearing 10 30 am - Johnston Ambulance Franchise Advertised Aug 18 , 25 , 2000 in The Smithfield Herald The Chairman opened the public hearing and invited anyone who wished to address the Board on an ambulance franchise application from Johnston Ambulance Service There being no comments , the Chairman closed the public hearing First Vote on Franchise Based on the recommendation of the Emergency Services Advisory Committee , Commissioner Jerry F Wood moved the Board approve an ambulance franchise for Johnston Ambulance Service , with nd the understanding a second vote will be taken at the October 2 meeting Commissioner Wade M Stewart seconded the motion , which carried by unanimous vote 5 Department of Transportation - Additions to System The Board reviewed a petition presented by the North Carolina Department of Transportation requesting the following roads be added to the State Secondary System for maintenance Ehrhardt Way in Ehrhardt Acres Subdivision , Pine Level Township Hawthorn Drive and Cambridge Elm Drive in Weston Woods PUD in Cleveland Township Following review , Commissioner Cookie Pope moved the Board concur with the NC Department of Transportations request to add the road listed above to the State Maintained System Commissioner Eleanor N Creech seconded the motion , which carried by unanimous vote 6 Request for Support for State Bond Referendum Dr Donald Reichard , president of Johnston Community College , requested the Board adopt a resolution of support for the upcoming State Bond Referendum for the UNC College System and Community Colleges Dr Reichard stated the County’s portion of this money if approved would provide much needed non - matching funds for renovations and new construction Upon a motion by Commissioner Eleanor N Creech , seconded by Commissioner Thomas M Moore and carried by unanimous vote , the Board adopted the following resolution RESOLUTION IN SUPPORT OF HIGHER EDUCATION BONDS TO ASSIST NORTH CAROLINA’S COMMUNITY COLLEGES AND UNIVERSITIES IN MEETING THEIR FACILITY NEEDS AND ACCOMMODATING THEIR STUDENTS WHEREAS , higher education has historically played a tremendous role in building the State of North Carolina into the thriving economic , cultural , and social leader that it is today ; and WHEREAS , North Carolina’s community colleges and universities allow citizens of this State to learn the skills necessary to compete in today’s and tomorrow’s competitive economy ; and WHEREAS , North Carolina’s systems of higher education are acclaimed as being among the best in the country ; and WHEREAS , in the next decade , our community colleges expect more than 57,000 new students to enroll , and our universities ’ enrollment will grow by more than 48,000 students ; and WHEREAS , our higher education campuses must upgrade and construct academic , residential and administrative facilities , including critical laboratory and classroom space , to accommodate the growing numbers of students ; and WHEREAS , the 31 billion bond package approved by the General Assembly will assist our community colleges and universities in meeting their significant facility needs ; and WHEREAS , the bonds are subject to voter approval on the November 2000 ballot and deserve rightful consideration by the citizens of this State ; NOW , THEREFORE , BE IT RESOLVED that the Johnston County Board of Commissioners strongly supports the higher education bond proposal because it will enable our systems of higher education to better educate tomorrow’s students and maintain North Carolina’s place as the national leader in higher education , learning , and training BE IT FURTHER RESOLVED that the Johnston County Board of Commissioners pledges to work toPage292 educate and inform the citizens of our State about the importance of the bonds in improving our community colleges and universities , and pledges to encourage voters to approve the bonds this November th This the 5 day of September , 2000 7 Revised Resolution - Community College Guaranteed Energy Savings Contract Dr Reichard also asked the Board to adopt a revised resolution on the Guaranteed Energy Savings Contract The earlier resolution had an estimated amount of savings of 12 million ; however , after a complete examination , the actual amount of the contract will be 1,794,291 These additional savings will enable the college to do two additional projects Following discussion , Commissioner Eleanor N Creech moved the Board adopt the following resolution Commissioner Jerry F Wood seconded the motion , which carried by unanimous vote RESOLUTION ACKNOWLEDGING THE EXECUTION AND DELIVERY BY THE JOHNSTON COMMUNITY COLLEGE BOARD OF TRUSTEES OF A GUARANTEED ENERGY SAVINGS CONTRACT BE IT RESOLVED by the Board of Commissioners the “ Board ” of the County of Johnston , North Carolina the “ County ” as follows 1 The Board hereby finds , determines and acknowledges that A the Johnston Community College Board of Trustees the “ Trustees ” plans to enter into a 1,794,291 guaranteed energy savings contract pursuant to GS 143 - 6417 et seq For the purpose of providing certain energy conservation measures authorized thereby the “ Project ” so as to reduce energy consumption and or energy - related operating costs ; B the Trustees intend to finance the Project by entering into an installment contract the “ Contract ” pursuant to GS 143 - 6417C and GS 160A - 20 , as amended ; C the energy savings resulting from the Project are expected to equal or exceed the total costs payable under the Contract as shown in an evaluation performed by a [ licensed architect or engineer ] on behalf of the Trustees ; D the payments under the Contract are not expected to require any additional appropriations to be made to the Trustees nor any increase in taxes ; and E the Board does not intend to reduce appropriations to the Trustees based upon a reduction of energy costs in a manner that would inhibit the ability of the Trustees to make the payments under the Contract , provided that the County is not bound in any manner to appropriate funds to the Trustees in amount sufficient for the Trustees to make such payments 2 This resolution shall take effect upon its passage th Adopted this the 5 day of September , 2000 8 Second Vote - Time Warner Cable TV Franchise Upon a second reading , Commissioner Jerry F Wood moved the Board adopt the following resolution approving a transfer of control of a cable television franchise from Time Warner , Inc , to AOL Time Warner , Inc and a transfer of control from Media One Group , Inc , to AT & T Corporation Commissioner Allen L Mims , Jr seconded the motion , which carried by unanimous vote RESOLUTION GRANTING THE CONSENT OF JOHNSTON COUNTY TO THE TRANSFER OF CONTROL OF A CABLE TELEVISION FRANCHISE FROM TIME WARNER , INC , TO AOL TIME WARNER , INC , AND A TRANSFER OF CONTROL FROM MEDIA ONE GROUP , INC , TO AT & T CORPORATION WHEREAS , Time Warner Entertainment - Advance Newhouse Partnership TWEAN holds a valid , non - exclusive franchise to operate a cable television system in Johnston County , North Carolina the Franchising Authority ; and WHEREAS , TWEAN is a subsidiary of Time Warner , Inc TWI ; and WHEREAS , Media One Group , Inc , Media One holds a 2551 interest in Time Warner Entertainment Company , LP , TWE which in turn owns a 6666 interest in TWEAN ; and WHEREAS , a wholly - owned subsidiary of AT & T Corporation AT & T is acquiring all of the shares of Media One pursuant to an Agreement and Plan of Merger dated May 6 , 1999 , Transaction No 1 so that following closing of the transaction , AT & T will control an approximate 17 interest in TWEAN ; and WHEREAS , TWI and America Online , Inc , AOL have entered into an Agreement and Plan of Merger dated January 10 , 2000 Transaction No 2 ; and WHEREAS , the merger agreement will result in a stock to stock merger Transaction No 2 in which TWI and AOL will merge with subsidiaries of a newly formed holding company ; and WHEREAS , as a result of Transaction No 2 , both TWI and AOL will become wholly owned subsidiaries of the new company , AOL - Time Warner , Inc AOL - TW ; and WHEREAS , the franchisee , TWEAN , and TWI , AOL - TW , Media One , and AT & T , have requested the consent of the Franchising Authority , if it determines consent is necessary , to the aforementioned change of controlPage293 and Transaction Nos 1 and 2 ; and WHEREAS , on or about February 10 , 2000 , TWI , as transferor , and AOL - TW , as transferee , filed an FCC Form 394 seeking the consent of the Franchising Authority to Transaction No 2 ; and WHEREAS , on or about February 18 , 2000 , Media One , transferor , and AT & T , transferee , filed a Form 394 with the Franchising Authority seeking consent to Transaction No 1 ; and WHEREAS , the Franchising Authority has conducted a thorough review of the legal , technical and financial qualifications of the applicants and the transferees to own and operate the cable system ; and WHEREAS , the Franchising Authority has received and reviewed the report of its cable television consultant concerning the legal , technical and financial qualifications of the transferees and provided an opportunity for public comments ; and WHEREAS , AT & T and TWI are the two largest cable television operators in the United States and AOL is the largest and most dominant provider of internet services ; and WHEREAS , TWI and AOL have entered into a Memorandum of Understanding dated February 29 , 2000 the MOU a copy of which is attached hereto as Attachment A setting forth significant commitments that AOL TW will undertake to enable cable modem subscribers to obtain service from affiliated Internet service providers ISPs Included among those commitments is the commitment of AOL TW to operate its cable systems in a manner that does not discriminate among ISPs based on their affiliation with AOL TW ; and WHEREAS , following further review and an investigation , the Franchising Authority has concluded that the transferees have established that they meet the technical , legal and financial criteria to operate the cable system and have satisfied all criteria set forth in and or under all applicable or required local government and federal documents , laws , rules and regulations , including FCC Form 394 and contingent upon applicants meeting all of the requirements set forth below ; NOW , THEREFORE , BE IT RESOLVED that in consideration of the foregoing and the promises set forth herein , the Franchising Authority and the transferees agree to the following 1 The Franchising Authority consents to Transaction Nos 1 and 2 , effective immediately upon the closing of the transactions contemplated by the agreements , provided that said closings take place prior to July 1 , 2001 2 The Franchising Authority confirms that a the franchise held by the franchisee is valid and in full force and effect b the franchisee will be in material compliance with the franchise if the other conditions set forth in this Resolution are met 3 TWEAN a agrees to be bound by the franchise and perform all duties and obligations thereunder ; b represents and warrants that it is able to provide and agrees to provide all services required under said franchise ; c acknowledges and agrees that TWEAN is subject to the regulatory authority of the grantor as provided by state and federal law ; d agrees to cooperate fully with the Franchising Authority and to obtain from any governmental agency having jurisdiction , all licenses , permits and other authority necessary for lawful operation and maintenance of the cable system 4 The past performance of TWEAN under the control of TWI pursuant to the franchise is not waived by the Franchising Authority consenting to this transfer and adopting this Resolution TWEAN under the control of its new parent , AOL - TW agrees to be responsible for and bound by the breaches and non - performance , if any , of TWEAN under the control of TWI prior to this transfer The Franchising Authority may , after consummation of the Transaction Nos 1 and 2 , consider in any ongoing renewal proceeding , the past performance of TWEAN under the control of TWI to the extent permitted under 47 USC § 546 , as if it were the past performance of TWEAN under the control of AOL - TW 5 TWEAN and AOL - TW agrees that the revaluation of the cable system assets , if any , resulting from Transaction Nos 1 and 2 shall not be the basis for any future rate increases for any regulated cable service , including , but not limited to , basic cable service , equipment rentals and installation costs 6 This Resolution shall become effective on the date of its passage but shall be automatically rescinded and the transfer of control denied 1 if not accepted in writing by TWEAN , within thirty 30 days of passage ; or 2 if any of the conditions of this consent resolution are determined to be invalid in a final judgment by a court of competent jurisdiction 7 Within thirty days following the adoption of this Resolution , TWEAN shall pay the sum of 2,500 to the Franchising Authority if it has 1,000 or more subscribers and the sum of 1,250 to the Franchising Authority if it has 999 or less subscribers to reimburse the Franchising Authority for its expenses in connection with this transfer None of the foregoing expenses described in this paragraph or TWEANs payment thereof shall constitute an offset against franchise fees or any other amounts due the Franchising Authority from TWEAN pursuant to the terms of the Franchise or otherwise 8 The Franchising Authority is granting its consent to the transfer of control of the Franchise in reliance on the commitment of TWI and AOL as expressed in the MOU , and Franchisee as an entity substantially owned by TWI , and proposed to be substantially owned by AOL TW , to the principles expressed in and underlying the MOU th PASSED , ADOPTED AND APPROVED this 5 day of September , 2000 9 Call for Public Hearing - Cable Franchise - Adelphia Communications Corporation Upon a motion by Commissioner Cookie Pope , seconded by Commissioner Eleanor N Creech andPagePage pageNumber5294 carried by unanimous vote , the Board scheduled a public hearing for October 2 , 2000 to hear public comment on a request for a Cable Television Franchise for Adelphia Communications Corporation , a company which is purchasing Benchmark Media , Inc The hearing is scheduled for 11 00 am 10 Memorandum of Understanding - Airport Authority and County Upon a motion by Commissioner Allen L Mims , Jr , seconded by Commissioner Thomas M Moore and carried by unanimous vote , the Board approved a memorandum of understanding which states the County will loan the Authority funds at 6 interest for up to four - years to offset any shortfall in their capital reserves for the Environ , Inc site project 11 Surplus Property and Public Auction Scheduled Upon a motion by Commissioner Cookie Pope , seconded by Commissioner Eleanor N Work First Block Grant - Status of County to Remain Standard Earl Marett , DSS Director , informed the Board it is time for the County to determine whether they choose to remain a standard county or become an elected county for the Work First Block Grant He handed out a chart that showed that even as the work first program has been successful , child services have dramatically increased The amount of money has remained essentially the same , but instead of being given out in checks to clients , it is now being used for child care Mr Marett noted he has no suggestions for changing the eligibility process , and since there is some flexibility with the standard status , he recommended the County remain a standard County The DSS Board has also recommended the County keep the standard proposed modification to the HUD Fran Grant Program Dewayne West stated the use of these funds to install a fixed generator set and transfer switch at the Health Department building will be helpful in times of emergencies as the Health Department is designed for a special needs shelter The EMS Department has as a number of portable generators that can be carried to other shelters , including schools , if needed It is the County’s understanding several of the new schools will be wired for emergency generator power There being no further comments , the Chairman closed the hearing Motion to
